Welcome to TalentLoop. These Terms & Conditions ("Terms") govern your access to and use of the website eqtalentloop.com (the "Platform") and all services offered by TalentLoop. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Platform Purpose

TalentLoop is an online job portal designed to connect job seekers with employers and recruiters across India and internationally. The Platform enables job seekers to create profiles, upload resumes, search for job listings, and apply for positions. Employers can post job openings, search candidate databases, and manage the recruitment process. TalentLoop acts solely as an intermediary and does not guarantee employment or hiring outcomes.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding agreements.
• Provide accurate and truthful information during registration and use of the Platform.
• Not be prohibited from using the Platform under applicable laws.

By creating an account, you represent and warrant that you meet all eligibility requirements.

3. User Responsibilities

3.1 For Job Seekers

• Provide accurate, current, and complete information in your profile and resume.
• Do not misrepresent your qualifications, experience, or identity.
• Use the Platform solely for lawful job-seeking purposes.
• Do not upload offensive, defamatory, or inappropriate content.
• Respond to employer communications professionally and in a timely manner.
• Keep your account credentials confidential and notify us immediately of any unauthorised access.

3.2 For Employers

• Post only genuine job openings with accurate descriptions, requirements, and compensation details.
• Comply with all applicable labour laws, anti-discrimination laws, and employment regulations.
• Do not post misleading, fraudulent, or illegal job listings.
• Treat all applicant information confidentially and use it solely for recruitment purposes.
• Do not charge job seekers any fee for job applications or interviews.
• Ensure your company information is accurate and up to date.

4. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Choose a strong, unique password for your TalentLoop account.
• Not share your login credentials with any third party.
• Immediately notify TalentLoop at info@eqtalentloop.com of any unauthorised use of your account or any other security breach.
• Accept responsibility for all activities that occur under your account.

TalentLoop will not be liable for any loss or damage arising from your failure to protect your account credentials.

5. Intellectual Property

All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of TalentLoop or its licensors and are protected by Indian and international copyright, trademark, and intellectual property laws.

• You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without prior written consent from TalentLoop.
• Users retain ownership of the content they upload (resumes, job listings, etc.) but grant TalentLoop a non-exclusive, worldwide, royalty-free licence to use, display, and distribute such content in connection with the Platform's services.
• The TalentLoop name, logo, and all related trademarks are the property of TalentLoop and may not be used without express permission.

6. Payment Terms

Certain features and services on the Platform may require payment. By purchasing a subscription or paid service, you agree to the following:

• All prices are listed in Indian Rupees (INR/₹) and are inclusive of applicable taxes unless stated otherwise.
• Payments are processed securely through Razorpay (for domestic transactions) and Stripe (for international transactions).
• Subscriptions may auto-renew at the end of each billing cycle unless cancelled before the renewal date.
• TalentLoop reserves the right to change pricing with prior notice. Existing subscriptions will be honoured at their current rate until the end of the billing cycle.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• TalentLoop provides the Platform on an "as is" and "as available" basis without warranties of any kind, either express or implied.
• TalentLoop does not guarantee that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• TalentLoop shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.
• TalentLoop does not guarantee employment for job seekers or suitable candidates for employers.
• TalentLoop's total liability to you for any claims arising from or related to the Platform shall not exceed the amount paid by you to TalentLoop in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless TalentLoop, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Platform.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any content you submit, post, or transmit through the Platform.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad, Uttar Pradesh, India.

10. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms:

• Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting TalentLoop at info@eqtalentloop.com. We will endeavour to resolve your concern within 30 business days.
• Mediation: If informal resolution fails, the parties agree to submit the dispute to mediation before pursuing any other form of dispute resolution.
• Arbitration: If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ghaziabad, Uttar Pradesh, India.

11. Termination

TalentLoop reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, including but not limited to:

• Violation of these Terms or any applicable law.
• Posting fraudulent or misleading content.
• Engaging in activities that harm the Platform, its users, or TalentLoop's reputation.
• Non-payment of applicable fees.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and indemnification.

12. Modifications to Terms

TalentLoop reserves the right to modify or update these Terms at any time. Changes will be posted on this page with a revised "Effective Date." Your continued use of the Platform after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Cancellation Policy, Cookie Policy, Payment Terms, and Disclaimer, constitute the entire agreement between you and TalentLoop regarding your use of the Platform.
